Acceptance of Terms

All of D6 Services, related web pages, and support packages available at d6interactive.com, d6support.com, and all linked pages (Site), are owned and operated by D6 Interactive, LLC. (D6 Interactive) and are accessed by you under the Terms of Use described below (Terms).

Please read these terms carefully before using the services. By hiring D6 Interactive for services, accessing D6 sites, viewing any content or using any services available on the site (as each is defined below) you are agreeing to be bound by these terms, which together with our Privacy Policy, governs our relationship with you, the client, in relation to the site.

IF YOU DISAGREE WITH ANY PART OF THE TERMS THEN YOU MAY NOT ENGAGE US FOR OUR SERVICES, ACCESS OUR SITE, OR START ANY WORK WITH D6.

General Administrative

Billings & Payments

Payment

Prices for D6 Services and D6’s hourly rate CAN AND WILL CHANGE at any time at D6 Interactive’s sole and exclusive discretion. We try to update our hourly rate on our Terms landing page. D6 is a service provider and charges for its time working on your project. Please request and verify an hourly rate before starting any work with D6 to ensure you understand how we bill for our time. The Services do not provide price protection or refunds in the event of a price reduction or promotional offering. Hourly maintenance MUST BE PRE-PAID and a credit card must be on file.

Website Projects Payments

Each website project has unique payment terms/installments for when payment triggers are reached. But as a standard D6 policy, the Client will agree to pay all invoices upon receipt (net 15). If you CANNOT AFFORD TO PAY YOUR WEBSITE COST, DO NOT HIRE D6. D6 is not an investor for your business or a bank and cannot float or front any amount of your project total. WE DO NOT WORK FOR FREE.

In the event payment is not made within 15 days, D6 reserves the right to charge a late payment fee of 3% per month on any overdue and unpaid balance not in dispute, to cover the manpower, interest, and other costs for carrying overdue invoices. In addition, D6 can and will reserve the right to stop work until payment is received.

Hourly Work & Hourly Support Payments

EVERY ITEM OUTSIDE OF THE POST-LAUNCH Q/A WINDOW IS TRACKED AT BILLED AT AN HOURLY RATE. Before beginning our work, D6 can provide a detailed hourly/cost estimate for the client to approve. The client MUST supply an accurate, WRITTEN description of tasks and scope of items to be done. If the scope changes or additional items are added, D6 can and will bill for the extra time and effort put into your project and requests.

As a standard D6 policy, the Client will agree to pay all invoices upon receipt (net 15). If you CANNOT AFFORD TO PAY FOR D6 TO WORK ON YOUR WEBSITE, DO NOT HIRE D6. D6 is not an investor for your business or a bank and cannot float or front any amount of your project total. WE DO NOT WORK FOR FREE.

Support Packages Payments

You agree that you will pay for the Services, and that D6 Interactive may charge your payment method for any services purchased and for any additional amounts (including any taxes and late fees, as applicable) that may be accrued by or in connection with your Account. YOU ARE RESPONSIBLE FOR THE TIMELY PAYMENT OF ALL FEES AND FOR PROVIDING D6 INTERACTIVE WITH A VALID PAYMENT METHOD FOR PAYMENT OF ALL FEES. All support packages require a 30-day cancellation notice. You can notify via email or unsubscribe through your D6 Support account.

Your total price will include the price of the product but expressly excludes any applicable taxes; such service tax is based on the bill-to address and the applicable tax rate in effect at the time you use the Services. We will charge tax only in such jurisdictions where the Services are taxable.

Cancellation Policy

Termination

You have the right to modify, reject, cancel or stop any and all plans or work in process. However, you agree to reimburse D6 for all costs and expenses we incurred prior to your change in instructions, and which relate to non-cancelable commitments, and to defend, indemnify and hold D6 harmless for any liability relating to such action.

Specific terms and scenarios are outlined as such:
Website Design Projects
Either party may terminate or cancel this agreement with or without cause, by providing at least (7) days written notice to the other party.

If, at the time of the request for termination, work has been completed beyond the amount covered by the initial payment, the Client shall be liable to pay for all work completed at the hourly rate. An invoice will be sent along with a detailed hourly log of work performed for the client. The invoice will be due upon receipt.

If, at the time of the request for termination, the amount paid by the client exceeds the hours that D6 has put into the project at its hourly rate, the difference will be calculated and charged a 5% termination fee and then sent to the client.

NO PORTION OF ANY PAYMENTS MADE TO D6 WILL BE REFUNDED unless written application is made within 7 DAYS of signing this contract, regardless of the amount of work performed.

All materials that the Client submitted to the D6 will be returned once the refund has been resolved; within 7 days.

Support & Marketing Package Cancellation

TERMINATION & CANCELLATION
Cancellation can occur at anytime for our support or marketing packages. You are never required to stay with D6 – if you find D6’s services unsatisfactory, all we ask is you provide us with feedback for how we can better serve you prior to moving to a different service provider.

You are responsible for canceling your automatic billing/payment subscription BEFORE THE DAY IT IS DUE. The automatic billing date is in your D6Support.com account under “Billing Center” or you can contact D6 at any time to be informed the day your credit card is charged.

D6 Interactive may terminate or suspend any and all Services and/or your D6 Interactive account immediately, without prior notice or liability, for any reason whatsoever, or for no reason, including without limitation if you breach the Terms. Upon termination of your account, your right to use the Services will immediately cease. If you wish to terminate your D6 Interactive account, you must login to your D6Support.com account or contact us with your termination request. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

You can contact us through the contact page or support area to issue a termination request.

Payment for Non-Cancelable Materials

Any non-cancelable materials, services, etc., we have properly committed ourselves to purchase for your account, (either specifically or as part of a plan such as modules, photography and/or external services) shall be paid for by the client, in accordance with the provisions of this Agreement. We agree to use our best efforts to minimize such liabilities immediately upon written notification from you. D6 will provide written proof, upon request of the client, that any such materials and services, are non cancelable.

Materials Unpaid For

If, upon termination, there exist any materials furnished by D6 or any services performed by D6 for which the client has not paid D6 in full, until such time as you have paid D6 in full, the client agrees not to use any such materials, in whole or in part, or the product of such services.

Transfer of Materials

Upon termination of this agreement, provided that there is no outstanding indebtedness then owing by {client_name} to D6, D6 Interactive shall transfer, assign and make available to {client_name} all property and materials in its possession or control belonging to {client_name}. {client_name} agrees to pay for all costs associated with the transfer of materials.

The client has the right to modify, reject, cancel or stop any and all plans or work in process. However, the client agrees to reimburse us for all costs and expenses we incurred prior to your change in instructions, and which relate to non-cancelable commitments, and to defend, indemnify and hold us harmless for any liability relating to such action.

All materials that the Client submitted to the D6 will be returned once the refund has been resolved; within 10 days.

Websites

Website Design Process Policy

As a general process for all of D6’s website design projects, D6 and the Client agree to follow this process for the project. It has been used by D6 for years and has proven successful in creating websites.

Discovery

To ensure for an efficient website design and development project, D6's Discovery Stage is a comprehensive review and outline of your website, its tone, look-and-feel, functionalities, capabilities and administrative features.

Discovery Questionnaire

D6 will provide the client with a questionnaire that will ask questions about the Business Objectives, Creative Details, and Development Requirements for the project. The Discovery Questionnaire must be completed by the client. The client opting not to fill out the Questionnaire may cause miscommunication, with details, objectives and specifications not being properly communicated to D6.

Questionnaire Inclusions

Business Details & Objectives:
D6 will ask general questions about the company/organization, the industry, and general objectives about the new web project.

Sitemap:
The client will provide details about which pages are included on the website including specific functionality or design requirements on each page.

Design Preferences:
The client will provide D6 with any color requirements and/or any color preferences. Required colors or branding guidelines should be given to D6 in this section. Example sites and sites that have preferable design features should be provided by the client to D6.

Development Needs: The client should provide specifics on functionality that is required by the website. All backend and customization that is needed by the coding of the website should be described by the client in this section.
*The Discovery Questionnaire must be filled out and completed by the client before we can begin any work on the project, including further Discovery or Design.

Project Book

Once the Discovery Questionnaire has been received, D6 will create a Project Book that is a guiding document for the complete design and development of the client project. D6 will compile all of the client answers and prepare this document to serve as a guide for the build of the website.

The Project Book must be approved by the client before we proceed.

CLIENT REQUESTS FOR FEATURES OR DETAILS NOT MENTIONED IN THE PROJECT BOOK OR DEEMED BEYOND THE SCOPE BY D6 CAN AND WILL BE SCOPED OUT AND BILLED AT AN ADDITIONAL COST.

Once the Project Book is approved by the client, we can proceed to the Design stage.

Design

D6 will utilize the Project Book and translate the objectives and details into tangible design concepts.

Homepage + Internal Page Design(s)

  • D6 will create a unique Homepage Design concept and the internal page designs and submit the concept for the client's review and approval.
  • D6 will offer revisions for the creative concepts presented. The number of “revisions” is designated in your contract.
  • All revisions must be summarized and in written form from the client.
  • Additional rounds of revisions can be offered at D6's hourly rate.

Development

Once Project Book and Design Concepts have been completed and approved, D6 will begin the Development Stage of the project. This stage brings the designs to life.

D6 will provide two rounds of revisions to the Development Site. These revisions must be in written form. New features and functionality not included in the approved Project Book or deemed beyond the scope by D6 can be added to the project but are estimated and billed separately at D6’s hourly rate.

The development stage is complete when all of the functionalities and capabilities outlined in the Project Checklist have been implemented and tested.
The admin dashboard has been completed and customized to add content.
If the client has not submitted copy and content for the website, the final bill is still due.

Q/A

After the site goes live, or when all the items from the Project Book are completed (whichever comes FIRST), the site will enter the Q/A phase of the project where both D6 and the client will have the opportunity to review the live site for any potential bugs or errors.

The client will prepare any Q/A items in written form to D6 via email or through its project management tool. Items that are within the scope of the project will be fixed and corrected. Items outside of the scope of the project will be given an hourly estimate with a client-option to implement.

CLIENT REQUESTS FOR FEATURES OR DETAILS NOT MENTIONED IN THE PROJECT BOOK OR DEEMED BEYOND THE SCOPE BY D6 CAN AND WILL BE SCOPED OUT AND BILLED AT AN ADDITIONAL COST.

The Q/A period lasts for 30 days. ANYTHING past the 30 days will be billed hourly.

WordPress Development Policy

A large number of D6 client sites are developed utilizing the open-source framework of WordPress. The specifics of how your site is built is in your proposal/contract, or you can email us for any type of clarification on the type of coding we are implementing.

In most cases, D6 is creating custom WordPress theme that is customized to the client needs, based upon the scope of work in this proposal, the SiteMap, and the Project Book we create during Discovery. Additions or feature requests that come later will be scoped out and D6 will provide an estimate for additional billing for the client.

WordPress Theme/Plugins Support, Updates, Fixes

Indefinite WordPress support, plugin support, theme updates, and other items is NOT INCLUDED after the deployment of your site. You will need to sign-up for a D6 Interactive Website Support Package or another development provider’s support or security package in order to actively manage your site. Websites can and will update, and you will need to take an active responsibility in this management and finding an appropriate service provider for each item.

In most cases, the client’s main contact for the project maintains a role in managing the site post-launch. D6 encourages the client’s active maintenance of the site post-launch or the use of a D6 Interactive Website Support Package or support package with another third-party developer.

3rd-Party Plugins and API's

Although D6 Interactive will implement plugins or 3rd-party features (payment processors, API’s, etc), it is the client's duty and responsibility to pay these 3rd-party fees. Outside of the Q/A period of your website launch, any requests for service on these plugins or features will be billed at D6’s hourly rate. Some plugins can and will cause conflicts on the site if not actively maintained on the site. As stated above, D6 encourages the client’s active maintenance of the site post-launch or the use of a D6 Interactive Website Support Package or support package with another third-party developer.

Content for Website(s) Policy

Content

The client is responsible for providing D6 with all site content and copy for website design projects. ALL CONTENT MUST BE PROVIDED AT THE START OF THE PROJECT.

Providing content midway through the process of the project can and will extend the project timeline.

Copywriting and content creation are services that D6 can offer the client at an hourly rate.

As a rule for website projects, the client agrees to provide all available and necessary text, content, logos, photos, stock photography, sound files, databases, and information to Developer during the Content Collection phase within TWO (2) WEEKS of signing a proposal/agreement.

Examples of Content

It is the ultimate responsibility of the client to provide and submit any available content, links, and photos desired as well as provide timely confirmation/approval of content.

Text, Photos, Stock Photography, Sitemap (Home / About Us / Events / Contact Us) are all examples of Content.

Submission of Content

Submission should be via in an organized format, preferably in a shared Dropbox folder. All text content should be organized by page/category. Any necessary editing made to the content given to D6 is subject to be billed separately.​

Stock Photography

Images and Stock Photography must be purchased by the client and submitted by the client to D6 Interactive.

D6 requires that all Stock Photography be purchased directly by the client. D6 will not purchase Stock Photography on behalf of the client, through the client’s stock photo account or using the client’s credit card.

Photographs & Stock Photography Policy

The client will need to supply graphic files to D6 Interactive in an editable, vector digital format. Photographs must be in a high resolution digital format. If the client chooses to buy stock photographs, D6 can suggest stock libraries and style of photography/images. The cost of buying stock photographs or a photo shoot is not included in this contract.

It is required that ALL photographs and content be provided BEFORE the start of any design work on your website design. Adding new photos or changing photos midway through the process can change the timeline of your project. Additionally, fundamental changes in the look and feel of the site might

Images and Stock Photography must be purchased by the client and submitted by the client to D6 Interactive.

D6 requires that all Stock Photography be purchased directly by the client. D6 will not purchase Stock Photography on behalf of the client, through the client’s stock photo account or using the client’s credit card.

Q/A Period & Post-Launch Policy

Every website we launch includes a Quality & Assurance policy, for a specified number of days once the website is complete. The website is deemed complete once the Project Book list of features is completed. The day that these items are all complete, your Q/A period begins. If you choose not to set the site “LIVE” launch date on the live URL for an extended period of time, this does not affect your project’s status as “complete” with D6 Interactive.

After the site goes live, or when all the items from the Project Book are completed, the site will go into the Q/A phase of the project where both D6 and the client will have the opportunity to review the live site for any potential bugs or errors.

The client will prepare any Q/A items in written form to D6 via email or through its project management tool. Items that are within the scope of the project will be fixed and corrected. Items outside of the scope of the project will be given an hourly estimate with a client-option to implement.

The Q/A period lasts for 30 days. ANYTHING past the 30 days will be billed hourly. D6 has a thorough project process and will provide the client a list of items uploaded, however it is ultimately the client's responsibility to ensure that any items that they wished to have updated are done so within the Q/A window.

Website Support

D6 Interactive offers support and maintenance for websites at its hourly rate. As a service provider, we track the number of hours of effort, work, and manpower to work on your website. All of our website support is pre-paid. We will ask that you provide a detailed scope of work, so that we can give you an accurate hourly estimate. Then, we will prepare an invoice that will need to be paid before we can begin work. If the amount of hours exceeds the number of hours estimated, we will notify you as soon as possible to ensure you would like us to continue work.

If you had your website designed and/or developed by D6 Interactive, we have a Quality/Assurance period after your site is complete. Please check the Q/A section under "Websites" in our Terms of Service to see if your requests are covered in the initial price/build of your site. All items outside of the Q/A window are billable. Indefinite, fixed-price support is not included in your initial website design contract with D6 Interactive.

Website Support Policy

Website Projects

After all the items in the Project Book are completed and deployed on the D6 Interactive development server, OR if we have deployed your site LIVE, your Q/A period begins. The day that we send you this link is the day that your Quality & Assurance period begins. In most cases, it is 30-days. You will need to check your proposal/contract with us for the exact number of days.

The client will prepare any Q/A items in written form to D6 via email or through a specified project management tool. Items that are within the scope of the project will be fixed and corrected. Items outside of the scope of the project will be given an hourly estimate with a client-option to implement.

ANYTHING OUTSIDE OF THE Q/A WINDOW IS BILLED HOURLY AND NOT INCLUDED IN YOUR WEBSITE PROJECT PRICE.

Examples of Items Included in your Q/A coverage:

  • Minor changes to text or a photo
  • A layout issue on a mobile device or specific browser
  • Adding a new person/email to the contact email form
  • A question about the basic functionality of your CMS
  • An item in the Project Book that needs clarification

Examples of Items NOT INCLUDED in your Q/A coverage:

  • Additions or changes to the initial scope of the project
  • Items not explicitly written in the Project Book
  • Items not explicitly written or designed in the design layouts or mockups
  • New pages, new functionality, new features
  • Design or layout revisions to the site or pages
  • Creating a new design or layout to the site

NOTE: Deployment on a 3rd-party server can cause changes to the display of your website.

Hosting, Site Hacked, and Virus Removal Policy

Virus Removal

Websites can and do get hacked frequently. D6 Interactive does NOT provide any protection against hackers and viruses to your website. D6 Interactive recommends a variety of ongoing security monitoring services from its partners, but makes no guarantee either express or implied about their ability to provide adequate service for your site.

If your site is hacked and has a virus on it, you must get it cleaned before D6 can perform any service on your site. D6 Interactive will cease work immediately and will not continue work on any site that is infected. You will need to hire a company to remove the virus. D6 Interactive has no duty to keep a copy of your website files, so you need to be sure to keep the original, cleanly created site files upon launch.

By signing working with D6 Interactive, you fully acknowledge and understand these terms and your duty as a client for hosting, virus removal, and hacker prevention.

Hosting Policy

D6 IS NOT A HOSTING COMPANY AND DOES NOT PROVIDE HOSTING SERVICES, VIRUS REMOVAL, HACKER PREVENTION, EMAIL SUPPORT, OR SUPPORT WHEN YOUR SITE IS DOWN OR CRASHED.

It is the CLIENT RESPONSIBILITY to find an appropriate hosting provider for hosting, IT and technical support. D6 has a number of security package recommendations on its site and D6 can provide recommendations of companies it has worked with in the industry, but makes NO GUARANTEE, either express or implied, about their ability to perform any service or package. It is the client duty to fully vet and manage their IT, hosting, and website security provider and relationship.

It is the client responsibility to choose a safe/secure password for your hosting provider. In order for D6 Interactive to work on your website, we will need the login credentials. If you choose to share your hosting provider password with D6 Interactive, please do so in a secure manner. D6 Interactive keeps any passwords stored in a SSL-secured location. It is the client responsibility to regularly update their passwords, as D6 will not manage or keep records of your password.

Site is Down/Crashed

If your site is down or crashed, you must contact your hosting or IT provider immediately. D6 Interactive cannot provide service for your server or website host while your site is down. Please contact your hosting provider immediately and let D6 Interactive know when your site is restored.

Support Packages

Use of Services

Use of Services and Rented Content

You agree that the Service may include security technology that limits your use and that you shall use the Service in compliance with the applicable usage rules established by D6 Interactive and its licensors (“Usage Rules”), and that any other use may constitute a copyright infringement. D6 Interactive reserves the right to modify the Usage Rules at any time. You agree not to violate, circumvent, reverse-engineer, decompile, disassemble, or otherwise tamper with any of the security technology related to such Usage Rules for any reason—or to attempt or assist another person to do so. Usage Rules may be controlled and monitored by D6 Interactive for compliance purposes, and D6 Interactive reserves the right to enforce the Usage Rules without notice to you. You agree not to access the Service by any means other than through software that is acceptable to D6 Interactive. You shall not access or attempt to access an account that you are not authorized to access. Violations of system or network security may result in civil or criminal liability.

Registration - Support Packages

As a condition to using Services, you are required to open an account with D6 Interactive and select a password and username, and to provide registration information. The registration information you provide must be accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your D6 Interactive account.

You may not use as a username the name of another person or entity or that is not lawfully available for use, a name or trade mark that is subject to any rights of another person or entity other than you without appropriate authorization, or a name that is otherwise offensive, vulgar or obscene.

Don't reveal your Account information to anyone else. You are solely responsible for maintaining the confidentiality and security of your Account and for all activities that occur on or through your Account, and you agree to immediately notify D6 Interactive of any security breach of your Account. D6 Interactive shall not be responsible for any losses arising out of the unauthorized use of your Account. You are responsible for maintaining the confidentiality of your password and are solely responsible for all activities resulting from the use of your password and conducted through your D6 Interactive account.

Services are available only to legal entities and to individuals who are at least 18 years old.

The term you or your as used herein shall at all times include the individual or legal entity which has subscribed to the D6 Interactive Services hereunder, including but not limited to any and all persons and/or legal entities with which it is affiliated and/or associated, and their respective directors, officers, employes, agents, representatives, independent and dependent contractors, licensees, successors and assigns.

Marketing

Monthly Marketing Services

Our monthly marketing services & packages are a purchased number of hours for us to spend on various marketing mediums for your organization. At the start of your contract, we will request where we should spend our time. If we should be spending our time on different services, please notify us and we will adjust our efforts accordingly. Your are buying a certain number of hours from us, so deliverables might change on a monthly basis based on what is requested. All monthly marketing packages require a 30-day cancellation notice.

If you have questions or concerns at any time, please notify us so we can address them.

Social Media Policy

Social Media Project Book

D6 will create a Project Book that is a guiding document for the client’s marketing campaign. D6 will compile all of the client answers from the questionnaire and prepare this document to serve as a guide for the ongoing campaign.

The Project Book must be approved by the client before we proceed. Client requests for objectives or details not mentioned in the Project Book can cause unsatisfactory results. As the client, you must provide accurate details and goals to allow D6 to execute a successful campaign.

Once the Project Book is approved by the client, we can proceed to the Design of your style sheet and content marketing.
Adjustments in the Project Book can be made in the future, to meet changing needs and objectives.

Point of Contact

There must only be ONE point of contact for D6 Interactive to work with for all monthly marketing campaigns. Having additional people contact D6 during the campaign can cause miscommunication and unmet expectations. Additional points of contact can be added at an additional rate.

Scope of Services

Since our social media services are priced out hourly, some days might have multiple posts and other days might not have any. We will use our professional judgement and expertise to execute your marketing campaign in a timely manner and within budget.

No monthly marketing client or social media client of D6 Interactive can guarantee a specific number of posts per day, week, or month. If you would like to increase the number of posts or increase the amount of content D6 Interactive is posting on your behalf, please contact your D6 project manager.

Errors

D6 can NOT guarantee that its work will be error-free and cannot be liable to the client or any third-party for damages, including lost profits, lost savings or other incidental, consequential or special damages, even if the client has advised D6 of them.

If the client notices an update or graphic posted by D6 that is not in align with the client's brand or objectives, the client must notify D6 immediately and we will take down the post or re-word the content. By signing this agreement, you (the client) understand this clause and your role to moderate content messaging.

Google Adwords Policy

In order to to utilize Google AdWords, an active credit card must be added to the Google billing system. All AdWords spending and budgets must be with the client credit card. D6 does not use its own credit card for billing or AdWords accounts. It is up to the CLIENT to have a proper credit card and MONITOR ALL SPENDING FOR THE CAMPAIGN(S). By signing this agreement, the client will provide full access to the AdWords account and hold D6 Interactive harmless for all charges within the Google AdWords budget, as it is the CLIENT RESPONSIBILITY TO MONITOR THE AMOUNT SPENT ON ITS CREDIT CARD.

D6 Interactive makes no guarantee, either express or implied, about the ranking results of your AdWords, results, return on your campaign, or general effectiveness. We will use our professional judgement and expertise to execute your marketing campaign in a timely manner and within a budget approved by the client. Changes in the budget and overall spend must be communicated clearly and promptly from the client to D6 Interactive in EVERY instance.

SEO Policy

D6 can provide no guarantee, either express or implied, about your website ranking on a certain page or for specific ranking results. Google, Bing, and other search engines have proprietary formulas that D6 does not have access to and is unable to have control over these results.

D6 can and will provide best-practices and its professional expertise and judgement to execute search engine results that have shown to have positive effects on websites and search results.

Search results and search algorithms frequently change and update, and we must adjust our work and scope accordingly. At times, our scope of work and strategy CAN AND WILL CHANGE in order to stay updated with best practices provided by search providers (Google, Bing, etc).

By signing-up for D6 Interactive SEO services, you contracting us to assist, consult, and implement some of these strategies on to your site. D6’s SEO services are hourly-based, and the price you pay each month is for the amount of hours/time/effort we put towards your project, rather than specific ranking results. We CAN NOT GUARANTEE ANY SPECIFIC RANKING RESULTS FOR YOUR SITE.








To work with D6 and utilize D6 Services, you must read, understand,
